Welcome to Bazaari! This User License Agreement (\"Agreement\") governs your use of the Bazaari application (\"App\"). By accessing or using the App, you agree to be bound by this Agreement. If you do not agree, do not use the App.
1. Definitions
1.1 App: Refers to the Bazaari application and related services.
1.2 User: Refers to the individual or entity accessing and using the App.
1.3 Stripe: Refers to the Stripe payment processing platform used for transactions.
1.4 Firebase: Refers to the Firebase services used for authentication, data storage, and cloud functions.
2. License Grant
Subject to your compliance with this Agreement, Bazaari grants you a limited, non-exclusive, non-transferable, revocable license to access and use the App solely for lawful purposes related to your business.
3. Data Liability
3.1 User Responsibility: You are solely responsible for the accuracy, legality, and quality of data entered or uploaded to the App.
3.2 Third-Party Services: The App integrates with Firebase and Stripe. By using the App, you agree to their respective terms of service and privacy policies. Bazaari is not responsible for any issues arising from third-party services.
3.3 Data Security: While Bazaari employs industry-standard measures to protect your data, no system is completely secure. You acknowledge and accept the risk of potential data breaches or unauthorized access.
4. Access and Usage
4.1 Account Security: You are responsible for safeguarding your login credentials. Any actions taken through your account are your responsibility.
4.2 Prohibited Actions: You may not:
Reverse-engineer, decompile, or attempt to extract the source code of the App.
Use the App for any illegal activity.
4.3 Termination: Bazaari reserves the right to suspend or terminate your account for violations of this Agreement.
5. Payments and Subscriptions
5.1 Stripe Integration: Payment processing is handled through Stripe. By using the App, you accept the terms of your Stripe Standard Account, including all associated fees and liabilities.
5.2 Subscription Plans and Payment Fees:
Subscription Plans: Bazaari may offer subscription plans with recurring fees. By subscribing, you agree to pay the applicable fees in advance. Changes to Pricing: Bazaari reserves the right to update or modify the pricing of subscription plans and associated payment processing fees at any time. Users will be notified of such changes in advance. Continued use of the App after a pricing change constitutes acceptance of the updated fees.
5.3 Liability:
You are solely responsible for managing refunds, chargebacks, and disputes arising from payments processed through the App. Bazaari is not liable for payment-related issues, including declined transactions, fraud, or chargebacks.
6. Disclaimer of Warranties
The App is provided "as is" and "as available," without warranties of any kind. Bazaari disclaims all warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.
7. Limitation of Liability
To the maximum extent permitted by law, Bazaari is not liable for:
Indirect, incidental, special, or consequential damages.
Loss of revenue, profits, or data arising from your use of the App.
8. Service Availability Disclaimer
To the maximum extent permitted by law, Bazaari does not guarantee uninterrupted or error-free operation of the App. Bazaari is not responsible for any downtime, service interruptions, or technical issues, including but not limited to those arising from third-party services such as Firebase and Stripe. You acknowledge that the availability and performance of these external services are beyond Bazaari’s control, and Bazaari shall not be liable for any direct, indirect, incidental, or consequential damages, including financial loss, resulting from any service disruptions, outages, or limitations.
9. Indemnification
You agree to indemnify and hold harmless Bazaari from any claims, damages, or expenses (including attorney fees) arising out of:
Your violation of this Agreement.
Your use of the App.
Payment disputes or liabilities related to Stripe.
10. Governing Law
This Agreement is governed by the laws of Quebec, Canada. Any disputes will be resolved exclusively in the courts of Quebec, Canada.
11. Modifications to the Agreement
Bazaari may update this Agreement at any time. Continued use of the App after changes constitutes acceptance of the revised terms.
